Terms and Conditions Renaissance Liberia Hub Portal endeavors to operate in a fair and reasonable manner at all times and it is part of the ethos to maintain a good relationship with users. It is important, however, to have certain contractual aspects agreed in order to protect both parties. By undertaking a Web project and becoming a user with Renaissance Liberia Hub Portal, you are agreeing to the following terms and conditions: Relationship of the Parties The parties intend that an independent contractor relationship will be created by this contract, and that no partnership, joint venture or employee/employer relationship is intended or implied. Project Process: Renaissance Liberia Hub Portal cannot always guarantee to start work immediately on a project but will arrange a date with you as to when work can commence. The Web project process involves four stages. The first stage of research is followed by three preview/proof stages. If Renaissance Liberia Hub Portal has produced a proposal for the development of your project, then Renaissance Liberia Hub Portal will endeavor to work within the time frames scheduled, provided you supply: All relevant information pertaining to the project Pay the 50% deposit During the Web development project process, Renaissance Liberia Hub Portal will create a preview of the project for viewing in order that you may comment for additions, revisions and give your approval. The Web project will proceed to a second proof/preview stage and then to a third/ and final preview/proof. Upon the final preview, Renaissance Liberia Hub Portal will invoice you for the remainder of the amount due for the project. Copyright All information supplied by the client and used by Renaissance Liberia Hub Portal for the Web development project will remain the client's property. All such material will be assumed to be the property of the client and free to use without fear of breach of copyright laws. The copyright for all text provided by Renaissance Liberia Hub Portal will remain the property of Renaissance Liberia Hub Portal until such time as payment has been made in full, whereupon they will become the property of the client. The parties acknowledge that Renaissance Liberia Hub Portal may accept jobs from other clients to develop text in the same or similar manner and that Renaissance Liberia Hub Portal may replicate and exploit all techniques for the creation of new works. Terms of Payment A 50% down payment of the price for the project will be provided on acceptance of the proposal. This invoice must be paid before the project can commence. Once the project is complete and approved, the final 50% will be invoiced. Payment for this invoice shall be made within 7 days of the date of issue of the invoice unless otherwise arranged. Validity of the Agreement Either party may terminate the agreement on 7 working days' written notice to the other party. Renaissance Liberia Hub Portal reserves the right to retain the 50% down payment, and to terminate your roject if you fail to meet any obligations in accordance with this agreement. Assignment and Delegation Renaissance Liberia Hub Portal may assign or transfer rights and responsibilities under this contract to another party. Renaissance Liberia Hub Portal may also subcontract the performance of any of the responsibilities under this contract to another party. You may not assign or transfer any of your rights or responsibilities under this contract to anyone else without prior notification and approval. Liabilities You agree that Renaissance Liberia Hub Portal will not be liable for any indirect or consequential damages, including but not limited to, loss of profits or for any claim made on the client by any other party, even though Renaissance Liberia Hub Portal may have been notified of such damage or claims. Renaissance Liberia Hub Portal shall not be liable to you for any loss or damage directly or indirectly arising out of or in connection with any delay in delivery of the goods or failure to perform its obligations under this agreement where such delay is caused directly or indirectly by an act of God, armed conflict, labor dispute, civil commotion, intervention of a government, inability to obtain labor, materials or manufacturing facilities, accidents, interruptions of, or delay in, transportation or any other cause beyond our control. You agree to defend, indemnify and hold Renaissance Liberia Hub Portal harmless from and against any and all claims, losses, liabilities and expenses (including attorneys' fees) related to or arising out of the services provided by us to you under this agreement, including without limitation claims made by third parties (including your customers) related to any false advertising claims, liability claims for products or services sold by you, claims for patent, copyright or trademark infringement, claims due to disruption or malfunction of services provided hereunder, or for any content submitted by you for publication by Renaissance Liberia Hub Portal. If, despite the other provisions of this agreement, Renaissance Liberia Hub Portal is found to be liable to you then its liability for any single event or series of related events is limited to the Fees. Due to the public nature of the Internet, all material written or provided by you for publication will be considered publicly accessible. Renaissance Liberia Hub Portal's publication of material submitted by users does not create any express or implied approval by Renaissance Liberia Hub Portal of such material, nor does it indicate that such material complies with the terms of this agreement. Refund Policy This policy refers to all related services. Renaissance Liberia Hub Portal requires 50% of the estimated project for services relating to Website Hosting, Copywriting, Web Design/Development, and Programming. This down payment is due, in full, before Renaissance Liberia Hub Portal can begin work on your project. This down payment is non-refundable. Remaining amount is due within 30 days. Prohibited Conduct The individuals or organizations within the Portal hold complete freedom to express themselves on their websites. Although intellectual freedom is respected, Renaissance Liberia Hub Portal reserves the right to restrict any obscene, threatening, or illegal content. Renaissance Liberia Hub Portal does not allow the use of unsolicited commercial email "Spam" to promote products or services. Any website engaging in the sending of Spam through the Renaissance Liberia Hub Portal will be considered in breach of the Service Terms & Conditions and Suspended from the Service immediately.
